The amount of minimum capital required generally depends on the legal form chosen (e.g. no minimum capital for a sole proprietorship or at least CHF 50,000 for a public limited company). Of course, regardless of the legal form, sufficient liquidity is required to be able to pursue business activities.

Depending on the legal form and turnover of the Businesses, there are different formal requirements. For sole proprietorships in particular, an entry in the commercial register is only required under certain circumstances. When founding a GmbH or AG, a public notarization and an entry in the commercial register are mandatory.

The following documents are mandatory: capital contribution confirmation, certificate of incorporation, articles of association, commercial register application, signature certification and Lex Friedrich declaration.

As soon as the founding capital has been verifiably paid into a capital contribution account at a bank, the founding act and subsequent entry in the commercial register can take place. Finally, depending on the business area, further permits may be required and tax and social security arrangements must be made.
